Draft — not legally binding
This document is placeholder text pending review by counsel. It has not been approved by a lawyer, it does not yet reflect a final position, and it must not be relied on or presented to a customer as an executed agreement. Contact us for the current signed terms.
These terms govern use of the Avise platform and this website. They are written for a business customer; there is no consumer offering.
1. The agreement
By opening an account, signing an order form, or using the service, the organisation you represent (“Customer”, “you”) agrees to these terms with Avise (“Avise”, “we”). If you are accepting on behalf of an organisation, you confirm you are authorised to bind it.
Where a signed order form or master agreement covers the same subject matter, that document prevails over these terms to the extent of any conflict.
2. The service
Avise provides a hosted platform for deal management, document extraction, financial analysis, memo drafting, document storage and contact management. Features vary by plan. We may change or improve the service over time, and will not materially reduce the functionality of a paid plan during a term without notice.
The service is provided on a subscription basis for the term stated on your plan or order form.
3. Accounts and access
- You are responsible for the accuracy of your account details and for the acts of your users.
- Credentials are personal to each user and must not be shared. You must tell us promptly if you suspect unauthorised access.
- Your administrators control roles, deal team membership and who is invited or removed. We do not adjust access on behalf of an individual user without the administrator's instruction.
4. Acceptable use
You may not, and may not permit anyone else to:
- Upload material you have no right to disclose, or that breaches a confidentiality obligation you owe to a third party.
- Upload malware, or attempt to interfere with, probe, overload or circumvent the security or access controls of the service.
- Attempt to access another organisation's data, or to enumerate records you are not entitled to.
- Reverse engineer the service, resell it, or use it to build a competing product.
- Use the service in breach of applicable law, including export control, sanctions, securities and data protection law.
We apply rate limits and file validation to protect the platform. Sustained excessive use may be throttled.
5. Customer data
You own your customer data, including the documents you upload and the records and memos created from them. You grant us a limited licence to host, process and transmit it in order to provide the service, and to send it to the sub-processors identified on the security page and in the privacy policy.
We do not use your customer data to train models, and under the enterprise terms on which we contract with our AI providers, they do not either. Customer data can be exported from the product and can be deleted on request. A data processing agreement is available on request and, where signed, forms part of this agreement.
6. AI-generated output
Extracted figures, analyses and memo drafts are produced by automated systems. A verification pass checks extracted values against the source document and the agent log records how a figure was reached, but output can still be wrong, incomplete or misread from an ambiguous source.
Output is a working draft for a professional to review. It is not investment, accounting, tax or legal advice, and you remain responsible for verifying any figure before relying on it in a decision, a memo shown to an investment committee, or a document given to a third party.
7. Fees, trials and renewal
- Fees are those set out for your plan or on your order form, and are payable in advance for each billing period unless agreed otherwise.
- Where a free trial is offered, it runs for the stated period and can be ended by either side at any time. Data created during a trial is deleted after a reasonable period if no subscription follows.
- Subscriptions renew for successive terms of the same length unless cancelled before the end of the current term.
- Fees exclude taxes. Late payment may lead to suspension after notice.
- Prices may change on renewal, with notice before the renewal date.
8. Intellectual property
We retain all rights in the platform, its software, models, documentation and brand. Nothing here transfers those rights to you beyond the right to use the service during your subscription. Feedback you give us may be used to improve the product without obligation to you.
9. Confidentiality
Each party will protect the other’s confidential information with at least reasonable care, use it only for the purposes of this agreement, and disclose it only to people who need it and are bound by equivalent obligations. This does not apply to information that is public through no fault of the recipient, independently developed, or required to be disclosed by law — in which case the recipient will give notice where it is lawful to do so.
10. Suspension and termination
Either party may terminate for material breach that is not cured within 30 days of notice. We may suspend access immediately where continued use presents a security risk, breaches section 4, or where fees are materially overdue after notice.
On termination, your right to use the service ends. You may export your customer data during a reasonable window after termination, after which it is deleted in line with the privacy policy.
11. Warranties and disclaimers
We will provide the service with reasonable skill and care. Beyond that, and to the extent the law allows, the service is provided “as is”. We do not warrant that it will be uninterrupted or error-free, or that automated output will be accurate or fit for a particular decision.
We make no certification claim that we do not hold. Our current compliance status, including certifications in progress, is stated on the security page and should be treated as the authoritative statement of it.
12. Liability
Neither party is liable for indirect or consequential loss, loss of profit, loss of business, or loss of anticipated savings. Except for breach of confidentiality, infringement of intellectual property, or unpaid fees, each party’s total liability is capped at the fees paid or payable in the twelve months before the claim.
Nothing here limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud.
13. Changes to these terms
We may update these terms and will revise the date at the top. Where a change materially affects a paid subscription, we will notify account administrators, and the change takes effect at the next renewal.
14. General
Neither party may assign this agreement without the other’s consent, except to a successor of its business. If a provision is unenforceable, the rest survives. Failure to enforce a right is not a waiver of it. The governing law and forum are those stated on your order form; where none is stated, they will be confirmed before these terms are finalised.
15. Contact
Questions about these terms, or a request for a countersigned agreement or data processing agreement, should go to hello@pocket-fund.com, or through the contact page.
